Vendor agreement

This Vendor Agreement ("Agreement") is entered into between Offozon (event.offozon.com) ("Platform", "We", "Us") and the Event Organizer ("Vendor", "You").

By registering or listing an event on the Platform, you agree to this Agreement.

1. Platform Role

event.offozon.com is a multi-vendor event marketplace that allows organizers to list and sell event tickets.

We act only as an intermediary and do not own or control third-party events.

2. Vendor Responsibilities

As a Vendor, you agree to:

Provide accurate event details (date, time, venue, pricing)
Deliver the event as described
Ensure all permissions and legal compliance for the event
Handle attendee experience professionally
Not mislead users in any way

You are solely responsible for your event execution.

3. Event Ownership & Liability

For third-party events:

The Vendor is fully responsible for the event
Offozon is not liable for event quality, cancellation, or failure
Any disputes arising from the event are the responsibility of the Vendor

4. Payments & Settlement

The Platform collects payments from users on behalf of Vendors
Payments are held securely by the Platform
Funds are released to Vendors only after successful completion of the event

The Platform reserves the right to:

Withhold payouts in case of disputes
Delay payouts for verification
Deduct applicable platform fees or commissions

5. Refund Responsibility

Refunds for third-party events are primarily the responsibility of the Vendor
The Platform may assist in processing refunds or disputes
Refunds may be processed before payout to the Vendor

Once payment is released after event completion, refunds are the Vendor’s responsibility.

6. Cancellation Policy

If a Vendor cancels an event:

The Vendor is responsible for full customer refunds
Repeated cancellations may result in account suspension

7. Fraud & Misuse

The Platform has the right to:

Suspend or terminate Vendor accounts
Withhold payments
Remove events

if any fraudulent activity, misrepresentation, or policy violation is detected.

8. Intellectual Property

Vendors confirm they have rights to all content they upload, including:

Images
Event descriptions
Branding materials

9. Compliance with Law

Vendors must comply with all applicable laws and regulations in India, including local event permissions, tax obligations, and safety regulations.

10. Platform Rights

Offozon reserves the right to:

Approve or reject any event listing
Modify platform policies
Remove content violating guidelines

11. Limitation of Liability

Offozon is not responsible for:

Event execution or quality
Financial losses due to cancellations
Vendor misconduct
Third-party disputes

12. Termination

We may suspend or terminate Vendor access at any time for:

Policy violations
Fraudulent activity
Legal or compliance risks

13. Governing Law

This Agreement is governed by the laws of India, and disputes shall fall under the jurisdiction of Mumbai, Maharashtra.
